1. Definitions
In this EULA the following capitalised terms have the meanings set out below:
- "Sudo Labs", "we", "our", "us" — Sudo Labs, Inc., a Delaware corporation with its registered office in Wilmington, Delaware, USA.
- "Software" — the Sudo client application (including all desktop, mobile, browser extension and web builds), together with any updates, patches, SDKs, command-line tooling and documentation we make available under this EULA.
- "Service" — the hosted components of Sudo, including relays, push delivery, optional metadata indexing, validator coordination and the marketplaces accessible through the Software.
- "You", "your" — the natural person, legal entity or autonomous agent that installs, accesses or uses the Software.
- "Wallet" — the cryptographic key pair (whether stored in a hardware device, multisig contract, smart account or browser keystore) you use to sign messages, transactions and intents through the Software.
- "Open Source Components" — third-party libraries distributed with the Software under their own licences (MIT, Apache 2.0, BSD, MPL 2.0, ISC, LGPL, GPL where compatible, etc.).
2. Acceptance and scope
By downloading, installing, copying, building from source, connecting a Wallet to or otherwise using the Software, you confirm that you have read, understood and accepted this EULA. If you do not accept it, you must not install, copy or use the Software, and you must delete any copy in your possession.
This EULA applies in addition to our Terms of Service and Privacy Policy. In case of conflict between this EULA and those documents, this EULA controls in respect of the licensed Software and the documents control in respect of the Service and personal data, respectively.
3. Licence grant
Subject to your continuing compliance with this EULA, Sudo Labs grants you a personal, worldwide, royalty-free, non-exclusive, non-transferable and revocable licence to:
- install and run a reasonable number of copies of the Software on devices you own or control;
- use the Software to interact with the Sudo network, your Wallet and any third-party smart contracts of your choice; and
- build, run and contribute to forks of the open-source parts of the Software in accordance with the applicable Open Source Component licences.
The licence to closed-source modules (such as our anti-spam classifier and validator coordinator binaries) is limited to internal use only and may not be reverse engineered, sublicensed or redistributed.
4. Restrictions
You agree that you will not, and will not permit any third party to:
- sell, rent, lease, sublicense, distribute or otherwise commercially exploit the closed-source components of the Software;
- modify, translate, adapt or create derivative works of the closed-source components, except as expressly permitted by applicable law;
- remove, obscure or alter any copyright, trade-mark or proprietary-rights notices contained in the Software;
- use the Software to send unsolicited bulk messages ("spam"), to harass, defame or stalk other users, to distribute malware, or to facilitate any unlawful activity;
- attempt to bypass usage limits, rate limits, anti-abuse measures or end-to-end encryption mechanisms;
- use the Software in connection with money laundering, terrorism financing, sanctions evasion or any activity prohibited under the laws of the United States, the European Union, the United Kingdom or your local jurisdiction;
- use the Software to operate critical infrastructure (life support, nuclear facilities, air-traffic control, etc.) where failure could result in death or serious injury.
5. Wallets, keys and self-custody
Sudo is non-custodial. The Software never holds your private keys, seed phrases or signing material. We have no technical ability to access, freeze, recover or restore your Wallet.
You are solely responsible for the security and lawful use of your Wallet, including: (i) backing up seed phrases or hardware devices; (ii) reviewing transactions before signing; (iii) keeping your operating system and Wallet firmware up to date; and (iv) using social-recovery, multisig or hardware signers for any meaningful balance. Loss of your Wallet means permanent loss of access to your Sudo identity, messages and on-chain assets.
6. Updates and channels
The Software may automatically check for and download updates. Stable, beta and nightly channels are offered; pre-release channels may contain bugs, breaking changes and reduced security guarantees and are provided strictly for testing.
Security-critical updates may be installed without separate consent where necessary to protect users or the network. Where an update materially changes this EULA, we will surface the new terms in-app and request renewed acceptance before continued use.
7. Open source components
The Software incorporates Open Source Components which remain governed by their original licences. A complete attribution notice is shipped with every build (see Settings → About → Open Source Notices).
Nothing in this EULA limits any rights you have under those open-source licences, and in case of conflict the applicable open-source licence prevails for the relevant component only.
8. Tokens, fees and economic risks
The Software exposes interactions with the SUDO token, third-party tokens and on-chain smart contracts. Tokens are utility instruments used to pay relay fees, bond validators and reward miners; they are not securities, investments or guarantees of future return.
Crypto assets carry significant risks, including volatility, smart-contract bugs, key loss, regulatory change and total loss of value. You must independently evaluate these risks and, where appropriate, take legal, tax and financial advice. Sudo Labs does not provide such advice through the Software.
9. Telemetry and privacy
The Software collects only the minimal diagnostic data described in our Privacy Policy. You can disable optional telemetry at any time in the client settings. End-to-end encrypted message contents are never transmitted to Sudo Labs servers in plaintext.
10. Intellectual property
The Software, including its closed-source components, user interface, branding and documentation, is owned by Sudo Labs and protected by copyright, trade-mark and other intellectual-property laws. Except for the licence expressly granted above, no rights are conveyed to you by implication, estoppel or otherwise.
11. Termination
This EULA remains in effect until terminated. You may terminate it at any time by uninstalling all copies of the Software and disconnecting your Wallet.
We may suspend or terminate the licence granted to you, with reasonable notice where practicable, if you materially breach this EULA, if continued provision is unlawful in your jurisdiction, or if necessary to protect the security or integrity of the network. On termination you must cease all use of the Software and delete every copy in your possession; sections that by their nature survive (intellectual property, disclaimers, limitation of liability, governing law) will remain in effect.
12. Disclaimer of warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, UNINTERRUPTED OPERATION OR ABSENCE OF SECURITY DEFECTS. SUDO LABS DOES NOT WARRANT THAT ANY ON-CHAIN OR THIRD-PARTY SERVICE ACCESSED THROUGH THE SOFTWARE WILL BE AVAILABLE OR FREE FROM LOSS.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUDO LABS' AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS EULA OR THE SOFTWARE WILL NOT EXCEED THE GREATER OF (a) US$100 OR (b) THE AMOUNTS YOU PAID DIRECTLY TO SUDO LABS IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. SUDO LABS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR CRYPTO ASSETS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTHING IN THIS EULA EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.
14. Indemnity
You agree to defend, indemnify and hold harmless Sudo Labs, its officers, employees and contractors from any claim, demand, loss or expense (including reasonable legal fees) arising out of (i) your breach of this EULA, (ii) your misuse of the Software or Service, or (iii) your violation of any applicable law or third-party right.
15. Export controls and sanctions
The Software is subject to United States export-control laws and may be subject to similar laws in other jurisdictions. You represent that you are not located in, under the control of or a national or resident of any country or region subject to comprehensive U.S. trade sanctions, and that you are not on any U.S. government list of restricted parties.
16. Governing law and disputes
This EULA is governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law rules. Any dispute arising out of or relating to this EULA will be resolved by binding individual arbitration administered in San Francisco under the JAMS Comprehensive Arbitration Rules, except that either party may seek small-claims relief or injunctive relief in a court of competent jurisdiction.
17. Changes to this EULA
We may update this EULA from time to time. Material changes will be announced in-app, on this page and via an on-chain notice from the Sudo Labs treasury. The "Last updated" date above reflects the most recent revision. Continued use of the Software after the effective date constitutes acceptance of the updated EULA.
